The liability limitations and exclusions stated in paragraphs 1 and 2 shall not apply to claims stemming from fraudulent
behaviour on our part as well as to liability for guaranteed characteristics of state, claims in accordance with product
liability laws, or damage originating from injury to life, body or health. If we are hired to perform processing of materials
according to templates, patterns or models of the ordering party, the ordering party shall be obligated to submit them in
CAD data format with closed contours. Otherwise translation into CAD data format shall be performed by us at the cost
of the ordering party, after prior consultation with the ordering party.
(4) Insofar as our liability is excluded or limited, this shall also apply to our employees, labourers, representatives and
vicarious agents.
§ 12 Patents
(1)
We shall release the purchaser/ordering party and his or her customers of claims for violation of copyright laws, trademarks
and/or patents unless the design of an article of sale originates from the purchaser/ordering party. Our release obligation
is limited to the estimated amount of damage. An additional prerequisite to release is that the conduction of legal action
be left to us, and that the asserted violation of rights is solely related to the construction of our items of sale without any
connection to or use with other products.
(2)
We reserve the right to release ourselves from the obligations assumed under para. 1 at our discretion by either
a) obtaining the necessary licenses related to the patents regarding which violation has been claimed or
b)providing to the purchaser/ordering party an altered item of sale and/or parts thereof, which, in the event of
replacement of the item of sale in violation or part thereof, would eliminate the allegation of violation with regard
to the sale item.
§ 13 Confidentiality
Unless otherwise explicitly stipulated in writing, the information provided to us regarding orders shall not be treated
confidentially.
§ 14 Applicable Law, Jurisdiction, Partial Invalidity
(1)
The laws of the Federal Republic of Germany shall apply to these General Terms and Conditions and all legal relationships
between us and the purchaser/ordering party. The conditions of the UN Purchasing Laws are not applicable.
(2)
Insofar as the purchaser/ordering party is a merchant, legal person under public law, or separate estate under public law,
Straubing, as the place of execution, shall have jurisdiction for all disputes resulting from this contractual relationship,
whether they be direct or indirect.
(3)
If an individual clause in these General Terms and Conditions or a stipulation within the context of other agreements
should be or become invalid, the validity of the remaining clauses or agreements shall not be affected.
